TERMS AND CONDITIONS

Welcome to Amala Livestock Traders (“Amala Livestock Traders,” “we,” “our,” or “us”).

These Terms & Conditions (“Terms”) govern your use of our website and your dealings with Amala Livestock Traders in relation to our Livestock Procurement, Wholesale Trading, Farm-to-Market Supply, and Animal Logistics services.

Our operating markets include Kenya and Somalia.

By accessing our website, requesting our services, purchasing or supplying livestock, or entering into a transaction with us, you acknowledge that you have read, understood, and agreed to these Terms.


1. ABOUT OUR SERVICES

Amala Livestock Traders facilitates the sourcing, procurement, trading, supply, and transportation of livestock.

Our services may include:

  • Livestock procurement and sourcing
  • Wholesale livestock trading
  • Farm-to-market livestock supply
  • Livestock aggregation
  • Livestock transportation and logistics
  • Connecting livestock suppliers with commercial buyers
  • Supply of livestock to traders, wholesalers, butcheries, meat businesses, and institutional buyers
  • Related livestock supply-chain coordination

Specific services, quantities, prices, delivery arrangements, and other commercial terms may vary depending on the transaction.


2. ELIGIBILITY TO TRANSACT

By entering into a transaction with Amala Livestock Traders, you confirm that:

  • You are legally capable of entering into a binding agreement;
  • The information you provide is accurate and complete;
  • You have the necessary authority to act on behalf of any business or organization you represent;
  • You will comply with applicable laws and regulations;
  • You will not use our services for unlawful activities.

Where a transaction requires additional documentation, permits, identification, licenses, certifications, or approvals, you agree to provide or obtain the required documentation.


3. LIVESTOCK PROCUREMENT

We may procure livestock directly from farmers, livestock owners, traders, aggregators, agents, or other legitimate suppliers.

Livestock procurement may be subject to:

  • Availability
  • Breed and type
  • Age and condition
  • Weight or estimated weight
  • Quantity
  • Location
  • Market conditions
  • Veterinary or regulatory requirements
  • Customer specifications
  • Agreed pricing and commercial terms

Livestock availability may change rapidly due to market conditions, weather, supply, transportation, animal health considerations, and other factors.

Accordingly, quotations or availability indications are not necessarily guaranteed until confirmed by Amala Livestock Traders.


4. LIVESTOCK QUALITY AND CONDITION

We make reasonable efforts to source and supply livestock that meets agreed customer specifications.

Where applicable, livestock may be assessed based on factors such as:

  • Species
  • Breed or type
  • Age
  • Weight
  • Physical condition
  • Health status
  • Quantity
  • Customer specifications

Livestock are living animals and their condition may change before collection, loading, transportation, delivery, or acceptance.

Where a veterinary inspection, certification, weighing, or other assessment is required, the applicable inspection or certification process may be used to determine compliance with the agreed requirements.


5. PRICING AND QUOTATIONS

Prices may depend on:

  • Livestock type and quality
  • Quantity
  • Market conditions
  • Location
  • Transportation requirements
  • Supply and demand
  • Regulatory requirements
  • Other costs associated with the transaction

Unless expressly stated otherwise, quotations are subject to confirmation and may be revised where market conditions or other material circumstances change.

A transaction becomes binding only after the applicable commercial terms have been confirmed by the parties.


6. ORDERS AND CONFIRMATION

Customers may place orders or requests through our authorized communication channels.

An order should specify, where applicable:

  • Type of livestock required
  • Quantity
  • Quality or specifications
  • Delivery or collection location
  • Preferred delivery date
  • Other relevant requirements

We reserve the right to accept, reject, modify, or partially fulfill an order based on availability, logistics, compliance requirements, and other legitimate business considerations.


7. PAYMENT TERMS

Payment terms will be agreed between Amala Livestock Traders and the customer or supplier before or during the transaction.

Depending on the transaction, payment may be required:

  • Before delivery;
  • Upon collection;
  • Upon delivery;
  • In agreed installments; or
  • According to an approved credit arrangement.

Customers are responsible for making payments by the agreed due date.

Where payment is delayed, we may suspend further deliveries, cancel outstanding orders, or take other lawful steps to recover amounts due.

Any applicable transaction charges, transportation costs, inspection fees, taxes, or other agreed costs will be communicated as part of the transaction.


8. DELIVERY AND ANIMAL LOGISTICS

Where we arrange or coordinate transportation, we will make reasonable efforts to facilitate delivery within the agreed timeframe.

Delivery times may be affected by:

  • Road conditions
  • Weather
  • Traffic
  • Border procedures
  • Veterinary inspections
  • Government requirements
  • Security conditions
  • Vehicle availability
  • Animal health considerations
  • Other circumstances beyond our reasonable control

Delivery dates are therefore estimates unless expressly agreed as guaranteed delivery dates.


9. CUSTOMER RESPONSIBILITIES

Customers are responsible for:

  • Providing accurate delivery and contact information;
  • Ensuring that the delivery location is accessible;
  • Being available or appointing an authorized representative to receive livestock;
  • Providing any required permits, approvals, or documentation;
  • Complying with applicable livestock, veterinary, customs, transport, and commercial requirements;
  • Inspecting livestock upon delivery or collection where appropriate.

Customers must promptly notify us of any material issue identified at the time of delivery or collection.


10. SUPPLIER RESPONSIBILITIES

Suppliers must provide accurate information regarding livestock offered for sale, including material information relating to:

  • Ownership;
  • Quantity;
  • Type or breed;
  • Condition;
  • Location;
  • Health status;
  • Relevant documentation.

Suppliers must have the legal right and authority to sell or transfer the livestock.

We reserve the right to reject livestock where ownership, documentation, health, quality, or other material requirements cannot be satisfactorily established.


11. LIVESTOCK OWNERSHIP AND RISK

Ownership and risk in livestock will transfer according to the specific commercial terms agreed between the parties and any applicable law.

Unless otherwise agreed, customers should inspect livestock at the agreed point of handover or delivery.

Where livestock remain in our custody or under transportation arranged by us, we will take reasonable steps to facilitate their safe handling and transportation.

However, because livestock are living animals, we cannot guarantee that animals will remain in exactly the same physical condition throughout the supply and transportation process.


12. VETERINARY, REGULATORY AND MOVEMENT REQUIREMENTS

Livestock transactions and transportation may be subject to veterinary, animal-health, movement, border, customs, identification, inspection, and other regulatory requirements.

The parties are responsible for complying with requirements applicable to their respective responsibilities.

Where permits, certificates, veterinary documentation, movement documents, or other approvals are required, the responsible party must obtain and provide them within the required timeframe.

Amala Livestock Traders may delay, suspend, or cancel a transaction where required documentation or regulatory approvals are unavailable.


13. CROSS-BORDER TRADE

Transactions involving Kenya and Somalia may be subject to additional requirements relating to:

  • Border clearance
  • Customs
  • Veterinary certification
  • Animal movement
  • Import and export controls
  • Applicable taxes, duties, or charges
  • Security
  • Transport and logistics
  • Government approvals

Cross-border transactions will be subject to the requirements applicable to the relevant route and jurisdiction.

Amala Livestock Traders does not guarantee that a transaction can proceed where government authorities, border authorities, veterinary authorities, or other competent authorities impose restrictions or requirements.


14. CANCELLATIONS AND CHANGES

Customers should notify us as soon as possible if they wish to cancel or modify an order.

Cancellation or modification may result in charges or loss of deposits where costs have already been incurred, including procurement, transportation, inspection, loading, accommodation, or other transaction-related expenses.

The applicable cancellation terms may be agreed separately depending on the nature and size of the transaction.


15. RETURNS, REJECTIONS AND DISPUTES

Because livestock are living animals, returns may not always be practical or possible.

Any concern regarding livestock supplied should be reported promptly, preferably at the time of delivery or collection.

Where appropriate, we may investigate the issue using available transaction records, inspection reports, veterinary documentation, photographs, delivery records, or other relevant evidence.

Any refund, replacement, adjustment, or other remedy will depend on the circumstances of the transaction and applicable law.


16. FORCE MAJEURE

Amala Livestock Traders will not be liable for failure or delay caused by circumstances beyond our reasonable control.

These may include:

  • Natural disasters
  • Severe weather
  • Drought
  • Flooding
  • Disease outbreaks
  • Animal-health restrictions
  • Government restrictions
  • Border closures
  • Civil unrest
  • Security incidents
  • War or armed conflict
  • Transport disruptions
  • Strikes
  • Road closures
  • Power or telecommunications failures
  • Other circumstances beyond our reasonable control

Where such circumstances occur, we will make reasonable efforts to notify affected customers or suppliers and identify an appropriate solution.


17. LIMITATION OF LIABILITY

To the extent permitted by applicable law, Amala Livestock Traders will not be responsible for losses arising from circumstances beyond our reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Our liability, where established, will be determined in accordance with the applicable transaction terms and relevant law.


18. WEBSITE USE

You agree to use our website lawfully and responsibly.

You must not:

  • Use the website for fraudulent purposes;
  • Submit false or misleading information;
  • Attempt to gain unauthorized access to our systems;
  • Interfere with website functionality or security;
  • Introduce malicious software;
  • Copy or misuse our content, branding, or materials without permission.

We may restrict or terminate access to the website where we reasonably believe these Terms have been violated.


19. INTELLECTUAL PROPERTY

Unless otherwise stated, the Amala Livestock Traders name, logo, branding, website content, photographs, graphics, text, and other materials are owned by or licensed to Amala Livestock Traders.

You may not reproduce, modify, distribute, publish, or commercially exploit our intellectual property without our prior written permission.


20. PRIVACY

We collect and process personal information in accordance with our Privacy Policy.

By using our website or engaging our services, you acknowledge that your information may be collected and processed for legitimate business purposes, including transactions, communication, logistics, payments, record keeping, compliance, and customer service.

21. CONFIDENTIALITY

Where confidential business information is exchanged between the parties, each party agrees to take reasonable steps to protect such information from unauthorized disclosure.

Confidential information may include commercial pricing, customer information, supplier information, business strategies, transaction details, and other information reasonably understood to be confidential.

This obligation does not apply where disclosure is required by law or by a competent authority.


22. ANTI-FRAUD AND COMPLIANCE

Amala Livestock Traders is committed to conducting business responsibly and lawfully.

We may decline or suspend transactions where we reasonably suspect:

  • Fraud;
  • Misrepresentation;
  • Illegal livestock ownership;
  • Unlawful movement of livestock;
  • Forged or inaccurate documentation;
  • Money laundering or other unlawful activity;
  • Violation of applicable laws or regulations.

We may cooperate with competent authorities where required by law.


23. THIRD-PARTY SERVICE PROVIDERS

We may engage third parties to support our operations, including:

  • Transporters;
  • Veterinary professionals;
  • Payment providers;
  • Technology providers;
  • Agents;
  • Warehousing or holding facilities;
  • Professional advisers.

Where appropriate, such parties may receive information necessary to perform their services.


24. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our business, services, legal requirements, or operating environment.

Updated Terms will be published on our website with a revised effective date.

Your continued use of our website or services following publication of updated Terms constitutes acceptance of the updated Terms, subject to applicable law.


25. GOVERNING LAW AND JURISDICTION

These Terms shall be interpreted and applied in accordance with the laws applicable to the relevant transaction and jurisdiction.

For transactions conducted in Kenya, applicable Kenyan laws and regulations may apply. For transactions involving Somalia, the applicable laws and regulatory requirements of the relevant Somali jurisdiction may apply.

Where a dispute cannot be resolved amicably, the parties may pursue the appropriate dispute-resolution mechanisms and competent courts or tribunals having jurisdiction over the relevant transaction.


26. DISPUTE RESOLUTION

We encourage customers, suppliers, and business partners to first contact Amala Livestock Traders to resolve any dispute or concern amicably.

Where a dispute cannot be resolved through direct communication, the parties may agree to mediation, arbitration, or other appropriate dispute-resolution mechanisms, subject to the applicable law and contractual arrangements.


27. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally possible.

The remaining provisions will continue to apply.


28. ENTIRE AGREEMENT

These Terms, together with any applicable quotation, invoice, purchase order, supply agreement, delivery agreement, or other written commercial terms agreed between the parties, constitute the terms governing the relevant transaction.

Where there is a conflict between these Terms and a specific written commercial agreement, the specific agreement will prevail to the extent of the conflict.
